Broking and underwriting the tax risk that sits in multibillion M&A deals as principal risk, like a form of litigation finance except specifically focused on multi jurisdictional tax risk faced by multinationals, sovereign wealth or private equity. This is usually as a result of M&A deals and restructuring. The risk is also sometimes commercial restructuring or expansion risk. The Company:
This is one of the world’s leading specialist brokers focused on arranging contracts for broking and placing tax risk. The major clients are in the US. The market is sociable and informal compared to most professional services and the work is really learning about making commercial decisions on tax risk through assessments of tax risk which may be found through assessing legal opinions and due diligence reports. A bit like a stock pick based on intelligent risk assessment. Very friendly team and great working environment with market beating bonuses (typically a 60% floor).
The company is specialist transactional risk insurance brokerage with extensive experience from providing advisory services on thousands of transactions and structuring over thousands of bespoke transactional risk insurance policies. The team consists of former M&A lawyers, tax advisors, transactional risk underwriters and investment bankers.
With offices in London, New York, Milan and Paris and Warsaw they engage in transactional risk insurance to provide our clients successful outcomes on high value transactions.
The Role:
Day to day it is like a "stock pick" where you and your team looks at lots of different tax risk across multiple jurisdictions and makes commercial decisions on which tax risk to "buy" and underwrite. It starts with tax knowledge which you learn but is really perception of risk and learning then one day knowing the questions to ask advisors to further test that risk. You will read legal opinions on existing transactions and decide firstly whether to look further into a tax risk (or reject it and look at another). Then for interesting risk work out what further questions need to be asked of tax lawyers who produced the legal opinion (or source a different opinion) and also look at the accounting firm due diligence again to work out your opinion and what may have been missed. It is a well paid very well bonused market but with very comfortable working hours, much better than law firm hours. The people are more fun, commercial and informal than typical tax people. For this particular role the centre of the tax risk to buy and underwrite is Italy. Hence the role can either be based on London with travel to Milan or Milan with travel to London. An Italian national is preferred.
You:
You will be an Italian trained tax lawyer with six to nine years practice experience. You could also be a big 4 tax accountant who wants to read legal opinions. For both the role is very commercial: learning not just to advise but to actually select and buy tax risk as a principal. This is also a big networking job. Initially you may not have any connections. But through the internal network then eventually externally you will learn how to develop a professional network in Italy (especially Milan) and through colleagues also London and speak to the multinationals and financial services institutions that carry tax risk. Eventually you will develop into someone who evolves from advising tax risk to buying tax risk and evolves from someone who is introduced by the company to tax risk to someone who is aware of where im which companies tax risk arises from your own network and new connections. That may take a while, a few years, but the speed of development is limited only by your own ability. It can be quicker if you adapt quicker.
